These Terms of Use ("Terms") govern your use of this platform at www.qshop.tech ("Website"), including any mobile applications, web applications, affiliated websites and services, operated by QShop Nigeria Limited.

Please read these Terms before using or continuing to use this Platform. By using or continuing to use the Website, you acknowledge and represent that you understand, agree and accept all terms and conditions contained in these Terms.

Qshop provides this Platform to users, individuals, companies and businesses seeking to create their own e-commerce site. The term "you" or "You" or "User" shall refer to clients or any other person or entity who views, uses, accesses, browses or submits any data, content, or material to the Website.

These Terms are entered into by and between Qshop and you, and you accept them by: (a) contracting to use all services available on the Website; and (b) using and continuing to use the Website in any other manner.

The services offered by Qshop include various products and services to help you sell goods and services to buyers, whether online via an eCommerce website ("Online Services"), in person ("POS Services"), or both ("Services").

You may use our Website only for lawful purposes. You are prohibited from using our Website:

• To knowingly transmit any data containing viruses, trojan horses, worms, or other harmful programs
• To transmit unsolicited or unauthorised advertising or promotional material (spam)
• For the purpose of harming or attempting to harm anyone in any way
• To deceive or defraud customers, or receive payments without delivering promised goods or services
• In any way that breaches any applicable local, national or international law or regulation

Prohibited Items

You are prohibited from selling:

• Military and paramilitary wears
• Personal information of third parties
• Illegal products or services
• Firearms and weapons

• Counterfeit or stolen property
• Unlicensed financial services
• Illegal drugs and paraphernalia
• Explosives and fireworks
• Offensive material or hate speech

In consideration of your use of the Website, you agree:

1. To maintain and promptly update the Registration Data and any information you provide to QShop, to keep it accurate, current and complete.
2. To maintain the security and confidentiality in relation to your password and identification.
3. To provide accurate, current, and complete information as may be prompted by registration forms.
4. That you are of legal age and have capacity to agree to these Terms.

You may obtain direct access via the Website to certain confidential information of QShop and its affiliates, including technical, contractual, product, program, pricing, marketing and other valuable information ("Confidential Information"). You irrevocably covenant and warrant to hold Confidential Information in strict confidence and utmost integrity.

You understand and agree that you are willing to pay all the costs associated with the Services which are available on the Website. These costs include but are not limited to: Domain name registration, eCommerce Website Subscription, Training Fees, and Consulting Fees.

Whenever you make use of a feature that allows you to upload content to the Website, you warrant that any such contribution must comply with our terms of use, and you will be liable to us and indemnify us against any breach of this warranty.

Any content you upload to our site will be considered non-confidential and non-proprietary. You retain all of your ownership rights in your content, but you are required to grant us a limited licence to use, store and copy that content and to distribute and make it available to third parties.

QShop is a technology service provider that grants you access to tools that enable you offer your goods and/or services for sale online. QShop does not engage in any direct sales transactions and does not act as a merchant or marketplace. All commercial transactions conducted through the Website are directly between you, as the seller of record, and the customer.

Seller Responsibilities

You are responsible for refunds, returns, fulfilling sales, customer service, fraudulent transactions, required legal disclosures, regulatory compliance, and your breach of these Terms.

QShop shall not, under any circumstances, be liable to you or your Customers whether in contract, in tort (including negligence), for breach of statutory duty, or otherwise, for: loss of profits; loss of revenue; loss of anticipated savings; loss, destruction or corruption of data; loss of contract or business opportunity; loss of goodwill; or indirect or consequential losses of any kind. In no event shall QShop's cumulative liability exceed ₦10,000.

You agree to indemnify, defend, and hold harmless QShop and its subsidiaries, affiliates, shareholders, officers, directors, agents, licensors, suppliers, other partners, employees, and representatives from and against any and all claims, demands, causes of action, losses, expenses, damages and/or liabilities, including reasonable attorney's fees and court costs.

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

Dispute Resolution

If any controversy, claim or dispute arises, you and QShop shall use your best endeavors to settle amicably through mutual discussion. If unable to settle within sixty (60) days, the dispute shall be referred to mediation at the Lagos State Multi-Door Court House (LMDC).
